    Terms of Service

    These Terms of Service ("Terms") are entered into by and between THRYVE INTEGRATIVE EHR LLC, doing business as Thryve ("Thryve," "we," "our," or "us"), and you ("you" or "User"), and govern your access to and use of thryveclinic.com, the Health Vault and patient portal, our mobile phlebotomy and diagnostic lab services, telemedicine consultations, memberships, and any related services (collectively, the "Services").

    Please also review our Privacy Policy, which is incorporated into these Terms by reference and describes how we collect, use, and share information. If there is a conflict between these Terms and the Privacy Policy on a privacy-related matter, the Privacy Policy governs; on all other matters, these Terms govern.

    By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

    1. Eligibility

    The Services are intended for individuals who are at least 18 years of age. By creating an account, you represent and warrant that you are at least 18 years old and that any information you provide is accurate and complete.

    If we determine that an account was created by someone under 18 without appropriate parental or guardian involvement, we may terminate that account and remove associated information from our systems in accordance with our Privacy Policy.

    The Services are subject to state licensing and regulatory requirements and may not be available, or may be limited, in every state.

    2. Description of Services

    Thryve provides direct-care longevity and preventive health services, which may include:

    • Physician-curated biomarker and diagnostic lab testing processed through licensed laboratory partners
    • Home phlebotomy scheduling and collection
    • Telemedicine consultations with licensed providers
    • Physician-developed care plans and preventive health programs
    • A patient-facing Health Vault for storing and reviewing your health information
    • Paid membership tiers providing access to some or all of the above

    All professional medical services available through the Services are furnished by independently licensed healthcare Providers or professional medical practices. Providers exercise independent clinical judgment and remain solely responsible for the professional medical services they provide. Thryve provides technology, administrative, care-coordination, and related support services and does not control the independent clinical judgment of Providers.

    3. Medical Disclaimer

    The Services, including any AI-assisted features, are intended for informational and care-coordination purposes and do not replace the independent medical judgment of your Provider. Nothing on the website or in the Health Vault should be construed as a diagnosis, treatment recommendation, or substitute for professional medical advice. Always seek the advice of your Provider or another qualified healthcare professional with questions about a medical condition. Never disregard or delay seeking professional medical advice because of something you have seen through the Services.

    4. Artificial Intelligence Features

    Certain features of the Services may use artificial intelligence ("AI") to help organize health information, generate summaries, support clinical documentation, or provide educational wellness content. AI is used solely as a support tool and does not replace the independent medical judgment of a licensed Provider. AI-generated outputs may be inaccurate, incomplete, or inappropriate for a particular patient and should not be relied upon without appropriate review by a qualified healthcare professional. This includes patient-facing educational or organizational AI features, Provider-facing documentation or decision-support tools, and any other AI-assisted feature; in every case, final clinical decisions, diagnoses, treatment recommendations, and care plans remain the responsibility of your Provider. Additional detail on our use of AI is available in our Privacy Policy.

    5. User Accounts

    To use certain Services, you must create a User Account. You are responsible for:

    • Providing accurate, current, and complete information and keeping it up to date
    • Maintaining the confidentiality of your login credentials
    • All activity that occurs under your account
    • Notifying us promptly at support@thryveclinic.com if you suspect unauthorized access to your account

    To the extent permitted by law, Thryve is not responsible for losses resulting from unauthorized account use caused by your failure to take reasonable steps to protect your credentials, except to the extent the loss results from Thryve's own breach of applicable law, negligence, or security obligations. Use caution when accessing your account on a shared or public device.

    If you are registering or managing an account on behalf of a minor patient as a parent or legal guardian, you represent that you are authorized to do so and agree to comply with these Terms on the minor's behalf.

    6. Membership, Billing, Cancellation and Refunds

    Membership is billed monthly at $89 per month and renews automatically until canceled. A one-time $100 setup fee applies at enrollment.

    Upon activation, membership includes a one-time 20-minute telehealth consultation with a Provider — this consultation is provided once at enrollment and does not recur or reset each quarter. For as long as your membership remains active, you also receive, every quarter: one 15-minute follow-up telehealth consultation with a Provider and $100 in diagnostic credits toward Thryve's 300+ advanced lab test panel. Membership also includes 15% off products and add-ons, 35% off supplement subscriptions, access to prescribed medications shipped to your door, and at-home blood draws by licensed phlebotomists.     By enrolling, you authorize Thryve and its payment processor to charge your selected payment method for the setup fee, recurring membership charges, and any additional Services you purchase.

    Cancellation of membership

    You may cancel your membership at any time through your account settings or by contacting support@thryveclinic.com.

    Cancellation is effective immediately and prevents future recurring membership charges; your access to membership benefits does not continue for the remainder of the billing period in which you cancel. Cancellation does not entitle you to a prorated refund for the current billing period and does not restore or refund credits or Services that have already been used, expired, committed, processed, or forfeited.

    Twenty-four-hour refund period

    You may request a full refund of a newly purchased membership charge or setup fee within 24 hours after purchase, provided that you have not used, scheduled, initiated, or received any included Service.

    You may request a refund for a separately purchased telehealth consultation or laboratory order within 24 hours after purchase, provided that:

    • the consultation has not occurred;
    • the appointment has not been missed;
    • the laboratory order has not been processed or transmitted;
    • a collection appointment has not been completed;
    • a collection kit has not been shipped; and
    • no other part of the Service has been initiated or fulfilled.

    Approved refunds will be issued to the original payment method. Processing times are determined by our payment processor and your financial institution.

    Refunds after 24 hours

    After 24 hours from purchase, membership charges, setup fees, telehealth consultations, laboratory orders, and related Services are non-refundable, except where required by law or expressly approved by Thryve under the Exceptions section below.

    After the refund period expires:

    • an unused telehealth consultation may still be scheduled during its applicable validity period;
    • an eligible laboratory order may still be completed during its applicable validity period;
    • if you choose not to use or complete the applicable Service, failure to use, schedule, or complete it does not create a right to a cash refund, replacement credit, or account credit; and
    • any unused Service or credit expires or resets according to the applicable membership or purchase terms.

    Appointment cancellations and no-shows

    Telehealth consultations and phlebotomy appointments may be rescheduled subject to availability and any cancellation policy disclosed at booking.

    Unless otherwise stated at booking, appointments canceled less than 24 hours before the scheduled appointment time, missed appointments, or no-shows may result in forfeiture of the applicable Service or credit.

    If Thryve cancels an appointment, we will make reasonable efforts to reschedule the appointment or provide another appropriate remedy.

    This appointment-cancellation period is separate from the 24-hour refund period following purchase.

    Laboratory orders

    A laboratory order is considered initiated once it has been approved by a Provider or otherwise submitted for fulfillment, including transmission to a laboratory, association with a scheduled collection, or dispatch of a phlebotomist.

    Once a laboratory order has been initiated, it is not eligible for a refund, even if you elect not to complete testing, except where required by law or expressly approved by Thryve.

    Diagnostic credits

    For as long as your membership remains active, you receive $100 in diagnostic credits every quarter, toward Thryve's 300+ advanced lab test panel. These diagnostic credits:

    • have no cash value;
    • may be used only toward eligible Thryve diagnostic testing;
    • may not be sold, transferred, exchanged, or redeemed for cash; and
    • reset to $100 at the start of each new quarter — any credits unused from the prior quarter do not carry over and are forfeited upon reset.

    For purposes of this section, a "quarter" means each three-month period measured from the date your membership becomes active (i.e., your membership renewal cycle), and not the calendar quarter.

    Cancellation of a membership does not result in a cash refund for unused, expired, or forfeited diagnostic credits.

    Exceptions

    Thryve may issue a refund, credit, recollection, or replacement Service when:

    • Thryve cancels a Service and cannot reasonably reschedule it;
    • a specimen cannot be processed for reasons outside your control;
    • a duplicate or erroneous charge occurs;
    • applicable law requires a refund; or
    • Thryve determines, in its reasonable discretion, that an exception is appropriate.

    Price changes

    We may change membership pricing or included benefits prospectively. We will provide notice of material changes before they apply to a future recurring charge.

    7. One-Time Comprehensive Health Assessment

    In addition to membership, Thryve offers a one-time Comprehensive Health Assessment package for a one-time payment, which includes: a 30-minute telehealth consultation; at-home mobile phlebotomy; $150 in diagnostic credits toward extensive biomarker analysis and advanced specialized testing; and a 15-minute follow-up telehealth consultation to review your results and receive your personalized plan. Current pricing is described on the applicable checkout page.

    The One-Time Health Assessment is a single, non-recurring purchase and is not subject to the automatic renewal terms described in Section 6. The refund, cancellation, and appointment policies described in Section 6 — including the 24-hour refund period, the appointment cancellation and no-show rules, and the laboratory order initiation rules — apply equally to the consultations and any testing included in the One-Time Health Assessment.

    8. One-Time Telehealth Consultation

    Thryve also offers a standalone one-time telehealth consultation, which includes a 20-minute telemedicine consultation with a board-certified Provider and personalized recommendations. No membership is required. Current pricing is described on the applicable checkout page.

    This one-time consultation is a single, non-recurring purchase and is not subject to the automatic renewal terms described in Section 6. The refund, cancellation, and appointment policies described in Section 6 — including the 24-hour refund period and the appointment cancellation and no-show rules — apply equally to this consultation.

    9. Payments

    Payment information is processed by our PCI-compliant third-party payment processor(s). Thryve does not store your complete card number. By providing payment information, you represent that you are authorized to use the applicable payment method and authorize us and our payment processor to charge it for the Services you select.

    You agree not to use stolen, unauthorized, or fraudulent payment methods. We may suspend or terminate your account for suspected fraudulent activity.

    11. Laboratory Services & Results

    Diagnostic testing may be performed by appropriately licensed or certified laboratories, including laboratories that maintain applicable CLIA certification and other accreditations where required. Results are made available through your Health Vault and are intended to be reviewed together with your Provider. Reference ranges and result interpretation may vary based on clinical context, and Thryve does not guarantee that any specific test, panel, or biomarker will be clinically actionable for your individual circumstances.

    Home phlebotomy visits are scheduled based on availability in your area and may be rescheduled due to circumstances outside our control (e.g., weather, staffing, or specimen handling requirements).

    A specimen may be rejected, delayed, or require recollection for clinical, technical, transportation, identification, or quality-control reasons. Where recollection is required for reasons outside your control, no additional charge will apply. Where recollection is required because you did not follow provided preparation, fasting, or scheduling instructions, an additional collection fee may apply as disclosed at the time of scheduling.

    12. Prescriptions and Medications

    A telehealth consultation does not guarantee that a Provider will issue a prescription. Prescribing decisions are made solely by the Provider based on clinical judgment and applicable law. Certain medications, including controlled substances, may not be available through the Services. Medication costs are generally not included in membership or consultation pricing unless expressly stated.

    13. SMS & Marketing Communications

    By opting in to marketing text messages, you agree to receive recurring marketing and promotional text messages from Thryve at the number you provide. This consent is captured separately at the point of opt-in and is not a condition of purchasing any Service. Message and data rates may apply, and message frequency varies. You may opt out of marketing texts at any time by replying STOP, and you can get help by replying HELP.

    You may manage your communication preferences, including revoking consent for any category of messaging, by contacting support@thryveclinic.com. Additional detail on marketing communications is available in our Privacy Policy.

    14. Account, Care & Service Text Notifications (Non-Marketing)

    Separately from the marketing text messages described in Section 13, registered patients with an active account on app.thryveclinic.com may choose to receive non-marketing SMS related to their own account and care activity. These messages relate solely to your own account and never contain promotional offers, discounts, pricing, or third-party marketing content.

    Consent to these messages is captured separately from, and independently of, the marketing consent described in Section 13, through a distinct, unchecked opt-in checkbox at account setup. This consent is never bundled with acceptance of these Terms and is never required to create an account or complete a purchase; patients who do not opt in still receive the same account and care updates by email. Message frequency varies. Message and data rates may apply. You may opt out at any time by replying STOP (or CANCEL, END, OPTOUT, QUIT, REVOKE, STOPALL, or UNSUBSCRIBE), or by contacting support@thryveclinic.com; opting out will not affect delivery of this information by email or through your patient portal. Replying START, YES, UNSTOP, or SUBSCRIBE only reactivates a number that previously opted out and restores this same consent — it is not an independent way to enroll, and Thryve does not solicit enrollment by text. For help, reply HELP or contact support@thryveclinic.com. Mobile numbers collected through this opt-in are never sold or shared with third parties, as described in our Privacy Policy.

    15. Website Content & License

    Subject to your compliance with these Terms, Thryve grants you a limited, non-exclusive, non-transferable license to access and use the content on our website (the "Content") solely for your personal, non-commercial use in connection with the Services.

    You agree not to:

    • Copy, reproduce, distribute, publish, or create derivative works from the Content without our prior written permission
    • Use any automated means (scraping, spidering, harvesting) to collect information from the website
    • Attempt to gain unauthorized access to our systems or interfere with the operation of the website or Services
    • Reverse engineer, decompile, or attempt to extract the source code of any software underlying the Services, except as permitted by law
    • Use the Services in violation of any applicable law or in a manner that infringes our or any third party's intellectual property rights

    All trademarks, logos, and trade names displayed on the website, including the Thryve name and marks, are the property of Thryve or its licensors, and nothing in these Terms grants you any right to use them without our prior written permission.

    16. Third-Party Services

    The Services may integrate with or link to third-party services, including laboratories, pharmacies (where applicable), payment processors, communication providers, scheduling providers, cloud service providers, analytics providers, and other third-party vendors. We are not responsible for the content, privacy practices, or terms of any third-party service, and your use of those services is governed by their own terms.

    17. Disclaimers

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY LABORATORY RESULT, AI-GENERATED CONTENT, OR HEALTH INSIGHT WILL BE ACCURATE, COMPLETE, OR CLINICALLY ACTIONABLE FOR YOUR SPECIFIC SITUATION.

    This disclaimer does not affect any rights you may have that cannot be waived or limited under applicable law, including with respect to gross negligence or willful misconduct.

    18. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, THRYVE, ITS AFFILIATES, AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    Nothing in these Terms limits liability for personal injury or death caused by professional negligence of a Provider, which is governed by the Provider's own professional and legal obligations, applicable medical malpractice law, and any separate patient care agreements.

    For platform and commercial claims not involving medical malpractice or personal injury, and to the maximum extent permitted by law, Thryve's total aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amount you paid to Thryve during the six months preceding the event giving rise to the claim, or (b) $100.

    Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

    19. Indemnification

    You agree to defend, indemnify, and hold harmless Thryve and its affiliates, officers, employees, and agents from any claim, liability, loss, or expense (including reasonable attorneys' fees) arising from your violation of these Terms or your misuse of the Services.

    20. Force Majeure

    Thryve will not be liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters, pandemics, labor disputes, internet or utility outages, governmental actions, acts of terrorism, or failures of third-party service providers.

    21. Dispute Resolution

    Before initiating a formal legal proceeding relating to these Terms, either party may provide written notice of the dispute and allow 30 days for good-faith informal resolution. If the dispute is not resolved within that period, either party may pursue any remedy available under applicable law in a court of competent jurisdiction.

    Nothing in this section is intended to limit any rights you may have that cannot be waived under applicable law, including any right to bring a claim for professional negligence against a Provider under applicable state law.

    22. Governing Law

    These Terms are governed by applicable federal law and, except as otherwise required by law, the laws of the State of Wyoming, without regard to conflict-of-laws principles. Matters concerning professional medical services, patient rights, telehealth, medical records, professional negligence, and Provider conduct are governed by the laws applicable in the state where the patient is located or where the services are rendered.

    23. Termination

    We may suspend or terminate access to non-clinical portions of the Services for violation of these Terms, fraud, abuse, nonpayment, security concerns, legal requirements, or discontinuation of a Service. Any termination involving an ongoing clinical relationship will be handled in accordance with applicable professional, ethical, continuity-of-care, and medical-record requirements. You may stop using the Services and close your account at any time by contacting support@thryveclinic.com.

    Closing or terminating your account does not necessarily result in deletion of medical, billing, laboratory, or transaction records. Such records will be retained and made available as required by applicable law and our Privacy Policy or Notice of Privacy Practices.

    Provisions of these Terms that by their nature should survive termination (including Sections 14, 16, 17, 18, 19, 20, 21, and 24–27) will survive.

    24. Changes to These Terms

    We may revise these Terms from time to time. When we make material changes, we will update the "Last Updated" date and, where required by law, provide additional notice. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.

    25. Electronic Communications & Signatures

    You consent to receive agreements, disclosures, notices, consents, records, and other communications electronically. Your electronic acceptance, checkbox selection, typed name, or other electronic action is intended to have the same legal effect as a handwritten signature, to the extent permitted by law. You are responsible for maintaining a valid email address and access to a device capable of displaying and retaining electronic records.

    26. Assignment

    You may not assign these Terms without our prior written consent. Thryve may assign these Terms in connection with a merger, reorganization, financing, sale of assets, or transfer of the Services, subject to applicable law.

    27. Entire Agreement

    These Terms, together with the Privacy Policy, applicable telehealth and other consents, membership and cancellation terms, purchase disclosures, and any other agreements expressly incorporated by reference, constitute the entire agreement concerning your use of the Services. Nothing in this section overrides any separate patient care agreement, informed consent, or Notice of Privacy Practices applicable to your clinical relationship with a Provider.

    28. Severability & Waiver

    If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.
